Legal # Terms of Service Effective date: June 2, 2026 Welcome to Crypto Chief. These Terms of Service (the "**Agreement**") govern your access to and use of the Crypto Chief website at (the "**Website**") and the products and services provided by Crypto Chief — including the Crypto Processing API, RPC Gateway, Unified API, EventStream and AML Intelligence (each a "**Service**" and collectively the "**Services**", and together with the Website, the "**Platform**"). "**Crypto Chief**", "**we**", "**us**" and "**our**" refer to the team operating the Platform. "**You**", "**your**" and "**Customer**" refer to the individual or entity accessing or using the Platform. By accessing or using the Platform, you agree to be bound by this Agreement and our [Privacy Policy](/privacy/). If you do not agree, do not use the Platform. ## 1\. The Services Crypto Chief is a developer-focused Web3 infrastructure platform. The Services include: - **Crypto Processing API** — non-custodial crypto payment processing primitives: wallets, PayIn detection, PayOut execution, mass payouts, sweep operations, settlement routing and webhooks across major blockchains. - **RPC Gateway** — JSON-RPC, WebSocket and gRPC access to nodes for major blockchain networks. - **Unified API** — high-level structured on-chain data (queries, tokens, NFTs). - **EventStream** — real-time delivery of on-chain events with retry and dead-letter handling. - **AML Intelligence** — address and transaction risk screening. Crypto Chief is **infrastructure**, not a turnkey gateway or merchant of record. We do not hold customer funds, manage your end merchants, perform KYC on your customers, or operate any fiat on-ramp or off-ramp. You build the product, the business logic and the customer relationships on top of our Services. ## 2\. Eligibility and Account Registration The Platform is available only to persons who are at least the age of majority in their jurisdiction. By registering an account, you represent and warrant that (a) the information you provide is accurate and complete, (b) you have the legal capacity to enter into this Agreement, and (c) your use of the Platform will comply with all applicable laws and regulations in your jurisdiction. You are responsible for safeguarding your account credentials, including passwords, OAuth tokens, API keys and any cryptographic private keys generated through the Platform. Notify us promptly at [admin@crypto-chief.com](mailto:admin@crypto-chief.com) if you become aware of unauthorised use of your account or any breach of security. ## 3\. Acceptable Use You agree not to, and not to permit any third party to: - Use the Platform for any unlawful purpose or in violation of any applicable law or regulation, including sanctions, anti-money-laundering, counter-terrorism financing, securities, tax and consumer-protection laws; - Use the Platform to facilitate transactions involving funds known or suspected to be the proceeds of crime; - Use the Platform on behalf of, or for the benefit of, individuals or entities subject to comprehensive sanctions imposed by the United States, the European Union, the United Kingdom, or the United Nations; - Reverse-engineer, decompile, disassemble or otherwise attempt to derive the source code of the Services; - Interfere with or disrupt the integrity, security or performance of the Services or the data they contain (including denial-of-service attacks, exploitation of vulnerabilities, or attempts to bypass rate limits); - Resell, sublicense, lease or otherwise commercially exploit the Services beyond what is expressly permitted under this Agreement; - Use the Services to send spam, malware, or unlawful content; - Circumvent or attempt to circumvent any access control, billing meter or usage limit implemented by the Platform. We may suspend or terminate your account, with or without notice, if we determine in good faith that you have violated this Section. ## 4\. API Credits, Billing and the Postpaid Model Use of the Services is metered in "**API Credits**". Per-action prices for each Service are published at [https://crypto-chief.com/pricing/](/pricing/). Crypto Chief reserves the right to update per-action prices on reasonable notice published on the pricing page. **4.1 Crypto Processing — Postpaid Model.** The Crypto Processing API operates on a postpaid credit model: - Every project starts with up to **$10 of API Credit headroom**. Calls succeed and your balance is allowed to go negative within that cap. - When the cap is reached, non-critical endpoints return `DEBT_LIMIT_EXCEEDED` (HTTP 402) until you top up. - Certain endpoints that release crypto or burn platform gas — force-sweep, manual transaction execute, and payouts using auto-conversion or service-paid fee mode — **always require a positive balance** and return `INSUFFICIENT_CREDITS` when it does not cover the call. Full rules are described in our [Billing Model documentation](https://docs-processing.crypto-chief.com/getting-started/billing-model). - Top-up reduces debt first and only then contributes to positive balance. **4.2 Other Services.** RPC Gateway, Unified API, EventStream and AML Intelligence operate on a prepaid credit model — actions are deducted from your positive API Credit balance only. If your balance is insufficient, requests may be rejected or throttled. **4.3 Payment Methods.** Top-ups may be made via the payment providers we support (currently Dodo Payments) in supported fiat currencies, and via supported stablecoins (USDT, USDC). We may add or remove payment methods at our discretion. **4.4 Non-Refundable Payments.** All payments are **final and non-refundable**. By initiating a payment you consent to immediate availability of API Credits and waive any cooling-off period to the fullest extent permitted by law. API Credits have no monetary value, are non-transferable and cannot be exchanged for cash. **4.5 Taxes.** Prices are exclusive of any applicable taxes, duties or governmental levies, which are your responsibility. ## 5\. Customer Data and Non-Custodial Wallets You retain all rights, title and interest in and to the data you submit to the Platform ("**Customer Data**"), including transaction details, webhook payloads and project metadata. **5.1 Non-Custodial Architecture.** Crypto Chief is **non-custodial**. We do not hold, control or own your cryptocurrency funds at any time. When you generate a wallet through the Platform, the corresponding **private key is delivered to you at the moment of creation**, encrypted with the RSA public key you uploaded to your project. You — and only you — are able to decrypt and recover the plaintext private key. Any encrypted copy retained on our infrastructure is used solely to execute the automated on-chain operations you explicitly configure (for example transit-to-master sweeps, scheduled payouts, or merchant-initiated transactions) and may be deleted by you at any time, which will disable those automated flows for the affected wallet. **5.2 Your Sole Responsibility for Keys and Funds.** You are **solely responsible** for safe-keeping the private keys delivered to you, including secure backup, access control and rotation. You acknowledge that: - Anyone with access to a wallet's private key can spend the funds in it. - If you lose the private key and we no longer hold an encrypted copy (or you have deleted it from our infrastructure), the funds in that wallet will be **permanently inaccessible**. Crypto Chief cannot recover lost keys. - Crypto Chief is not a wallet, custodian, broker, dealer, exchange or money services business. We do not insure, guarantee or otherwise underwrite the value, security or recoverability of funds held in wallets generated through the Platform. - You are solely responsible for the accuracy of configurations affecting on-chain operations — withdrawal addresses, fee modes, asset allowlists, merchant settings, signed-transaction parameters — and for any loss resulting from an incorrect configuration. **5.3 Licence to Customer Data.** You grant Crypto Chief a limited, worldwide, royalty-free licence to process Customer Data solely as necessary to operate and provide the Services to you. ## 6\. Privacy Our collection and use of Personal Information is described in our [Privacy Policy](/privacy/), which is incorporated into this Agreement by reference. By using the Platform you acknowledge and consent to our processing of Personal Information as described there. ## 7\. Intellectual Property The Platform, including the software, documentation, designs, text, displays and the selection and arrangement thereof, is exclusively owned by Crypto Chief or its licensors and is protected by copyright, trademark and other intellectual-property laws. Subject to this Agreement, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes. No other rights are granted by implication. Feedback, suggestions or improvements you voluntarily submit to us may be used by Crypto Chief without restriction or compensation. ## 8\. Third-Party Services The Platform may integrate with or link to third-party services (for example, blockchain networks, exchanges, payment providers, on-chain data providers). Your interactions with those third parties are governed by their own terms and policies. Crypto Chief is not responsible for the availability, accuracy, content or actions of any third-party service. ## 9\. Service Availability We strive to keep the Platform available with high uptime, but we do not guarantee uninterrupted, error-free or fault-free operation. The Platform may be unavailable due to maintenance, upgrades, unforeseen technical issues or events outside our reasonable control (including blockchain network congestion, RPC node outages, denial-of-service attacks and force majeure events described in Section 14.6). ## 10\. Suspension and Termination **10.1 By You.** You may stop using the Platform at any time and may request deletion of your account by emailing [admin@crypto-chief.com](mailto:admin@crypto-chief.com). **10.2 By Us.** We may suspend or terminate your access to all or part of the Platform, with or without prior notice, if (a) you breach this Agreement, including the acceptable-use provisions in Section 3; (b) we are required to do so by law or by an order of a competent authority; (c) the Platform is discontinued; or (d) we determine in good faith that your use poses a security or compliance risk. **10.3 Effect of Termination.** Upon termination, your right to access the Platform ceases. Any provisions of this Agreement that by their nature should survive termination — including Sections 3 (Acceptable Use), 4.4 (Non-Refundable Payments), 5 (Customer Data and Wallets), 6 (Privacy), 7 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification) and 14 (General) — will survive. ## 11\. Disclaimers THE PLATFORM AND THE SERVICES ARE PROVIDED "**AS IS**" AND "**AS AVAILABLE**", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CRYPTO CHIEF DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED. CRYPTO CHIEF DOES NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE PLATFORM, INCLUDING ON-CHAIN DATA, EXCHANGE RATES AND THIRD-PARTY DATA. YOU ACKNOWLEDGE THAT CRYPTOCURRENCY TRANSACTIONS ARE INHERENTLY RISKY, IRREVERSIBLE AND SUBJECT TO BLOCKCHAIN-LEVEL EVENTS (REORGANISATIONS, FORKS, NETWORK CONGESTION, MEV) OUTSIDE OF CRYPTO CHIEF'S CONTROL. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING THESE RISKS BEFORE USING THE PLATFORM IN PRODUCTION. YOU FURTHER ACKNOWLEDGE THAT THE PLATFORM IS NON-CUSTODIAL (SEE SECTION 5). PRIVATE KEYS GENERATED THROUGH THE PLATFORM ARE DELIVERED TO YOU AT WALLET CREATION AND YOU ARE SOLELY RESPONSIBLE FOR THEIR SAFE-KEEPING. LOSS, THEFT, COMPROMISE OR ACCIDENTAL DISCLOSURE OF A PRIVATE KEY MAY RESULT IN PERMANENT AND IRRECOVERABLE LOSS OF THE FUNDS HELD IN THE CORRESPONDING WALLET. CRYPTO CHIEF HAS NO ABILITY TO RECOVER LOST KEYS OR REVERSE UNAUTHORISED TRANSACTIONS AND ACCEPTS NO LIABILITY FOR ANY SUCH LOSS. ## 12\. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CRYPTO CHIEF BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT CRYPTO CHIEF HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRYPTO CHIEF'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS YOU PAID TO CRYPTO CHIEF IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS GREATER. The above limitations do not apply to liability that cannot be excluded or limited under applicable law (for example, liability for gross negligence, wilful misconduct, or death or bodily injury caused by us). ## 13\. Indemnification You agree to indemnify, defend and hold harmless Crypto Chief and its officers, contractors, employees and agents from and against any third-party claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Platform; (b) your breach of this Agreement; (c) your Customer Data or the products and services you build using the Platform; or (d) your violation of any law or the rights of any third party. ## 14\. General **14.1 Changes to this Agreement.** We may revise this Agreement from time to time. We will post the updated version on this page and update the "Effective date" above. Material changes will be notified by email or by a notice on the Platform. Your continued use of the Platform after changes take effect constitutes acceptance. **14.2 Notices.** Notices to Crypto Chief should be sent to [admin@crypto-chief.com](mailto:admin@crypto-chief.com). Notices to you will be sent to the email address associated with your account, or posted on the Platform. **14.3 Assignment.** You may not assign or transfer this Agreement or any rights under it without our prior written consent. We may assign this Agreement at any time without notice. **14.4 Severability.** If any provision of this Agreement is held to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. **14.5 No Waiver.** Our failure to enforce any right or provision of this Agreement will not be deemed a waiver of that right or provision. **14.6 Force Majeure.** Neither party will be liable for any failure or delay in performing its obligations (other than payment obligations) to the extent caused by events beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network or power outages, blockchain reorganisations, denial-of-service attacks, strikes or shortages of transportation, facilities, fuel, energy, labour or materials. **14.7 Independent Contractors.** The parties are independent contractors. This Agreement does not create any joint venture, partnership, agency or employment relationship. **14.8 Entire Agreement.** This Agreement, together with the Privacy Policy and any pricing pages referenced herein, constitutes the entire agreement between you and Crypto Chief regarding the Platform and supersedes all prior or contemporaneous understandings, communications and agreements relating to the subject matter. ## 15\.
